AFFILIATE PROGRAM – TERMS & CONDITIONS

1. Introduction

Welcome to The Soul Seeds Affiliate Program (the “Program”). The Program is operated by PT THE SOUL SEEDS, a company registered in Indonesia, which manages local operations and pays affiliate commissions from Indonesia.
Online sales to customers are processed by IVNO GROUP LLC, a U.S. company acting as Merchant of Record (Stripe payments in USD).

By registering or participating in the Program, you (“Affiliate”) agree to these Terms & Conditions (the “Terms”). If you do not agree, do not register or participate.

2. Definitions

  • Company / Program Operator: PT THE SOUL SEEDS (Indonesia), responsible for managing the Program and paying commissions.

  • Merchant of Record (MoR): IVNO GROUP LLC (USA), which processes online payments in USD and issues order confirmations to customers.

  • Affiliate: Any individual or entity approved to promote The Soul Seeds experiences in exchange for commissions under these Terms.

  • Customer: A person who books and pays for an experience that is validly attributed to the Affiliate.

  • Commission: Compensation payable to the Affiliate for each eligible completed booking.

  • Fraud: Any attempt to manipulate tracking, generate artificial traffic/leads/sales, or mislead customers or the Company.

  • Affiliate Assets: Affiliate links, unique coupon codes, creatives and other materials made available by the Company.

3. Eligibility & Enrollment

3.1. You must be at least 18 years old and have the legal capacity to contract.
3.2. The Company may request KYC/verification (ID, legal name, address, bank details, tax info) before approval or payout.
3.3. Applications may be approved or rejected at the Company’s sole discretion, without obligation to provide reasons.
3.4. Participation is non-exclusive and may be subject to additional written agreements.

4. Conduct & Promotional Standards

4.1. Brand integrity. Promote ethically and accurately. Do not misrepresent availability, prices, inclusions, or safety.
4.2. Permitted channels: your website(s), blogs, newsletters, organic social media, in-person referrals, and other channels pre-approved by the Company.
4.3. Prohibited (without written permission):

  • Spam, unsolicited messages, misleading claims, fake reviews/testimonials.

  • Bidding on trademarks (e.g., “The Soul Seeds”, “Soul Seeds Bali”, “TheSoulSeeds”) or typos in search ads; using the brand in ad display URLs, social handles, or domains.

  • Direct linking PPC to the Company’s site; cookie-stuffing, iframe drops, forced clicks, or any tracking manipulation.

  • Unauthorized use of coupons/discounts, or advertising unapproved pricing.

  • Use of content that is illegal, hateful, discriminatory, adult, or violates third-party rights/platform policies (e.g., Meta, Google).
    4.4. Creative assets. Use only materials provided or approved. Any edits require prior written consent.
    4.5. Disclosures. Affiliates must comply with applicable disclosure/endorsement rules (e.g., clear “#ad” or equivalent where required).

5. Tracking, Attribution & Valid Sales

5.1. The Program uses link/cookie tracking and, when available, coupon code attribution.
5.2. Attribution model: Last click within a 30-day cookie window (unless otherwise stated in your dashboard). Coupon codes assigned to the Affiliate override last click when used.
5.3. Only bookings fully paid and completed by the Customer are eligible. Canceled, refunded, chargebacked, or fraudulent orders are ineligible.
5.4. Offline or manually created bookings are not commissionable unless explicitly approved in writing and recorded by the Company.
5.5. The Company is not liable for tracking failures due to ad blockers, user privacy settings, cookie rejection, browser restrictions, or Affiliate’s improper link usage.

6. Commissions & Payments

6.1. Commission rates and structures are communicated in the Affiliate dashboard or specific written agreement.
6.2. Payer: Commissions are paid by PT THE SOUL SEEDS (Indonesia), within the first 10 business days of the following month after the Customer completes the experience.
6.3. Currency: Payments are made in USD or IDR at the Company’s discretion. If conversion applies, the mid-market rate (as reasonably determined by the Company on the payout date) will be used.
6.4. Thresholds & fees: The Company may set a minimum payout threshold and deduct reasonable bank/transfer fees.
6.5. Clawbacks: The Company may deduct or offset future commissions for cancellations, refunds, chargebacks, fraud, or data errors. Negative balances may carry forward.
6.6. Taxes & withholding:

  • Commissions may be subject to withholding tax under Indonesian law.

  • Affiliates must provide accurate tax information and any tax residency certificates to claim treaty benefits (if applicable).

  • Affiliates are solely responsible for reporting and paying their taxes in their jurisdiction.
    6.7. The Company may suspend or delay payments pending KYC, fraud review, or compliance checks.

7. Affiliate Obligations

7.1. Maintain current account info (email, address, payout details).
7.2. Use only approved sales claims and accurate descriptions; promptly update content upon Company request.
7.3. Keep login credentials secure; you are responsible for activities under your account.
7.4. Confidentiality. Do not disclose non-public information about rates, operations, or customer data.

8. Intellectual Property

8.1. The Soul Seeds brand, logos, texts, images, and other IP remain the exclusive property of the Company or its licensors.
8.2. The Company grants a limited, revocable, non-exclusive, non-transferable license to use approved assets solely for Program participation.
8.3. No domain registrations, handles, or ads containing the brand (or confusingly similar variations) without prior written consent.

9. Customer Relationship & Operations

9.1. Merchant of Record: IVNO GROUP LLC (USA) processes online payments in USD and issues booking confirmations.
9.2. Local execution: PT THE SOUL SEEDS (Indonesia) executes experiences in Bali and manages on-site customer service.
9.3. Customer pricing, availability, itinerary, inclusions, safety, and final service delivery are determined by the Company and may change without notice.

10. Cancellations, Refunds & Chargebacks

10.1. The Program follows the public Cancellation & Refund Policy on the website.
10.2. If a booking is canceled, refunded, or charged back, no commission is due. If already paid, it may be clawed back.
10.3. The Company’s decision on disputes regarding attribution or commission eligibility is final.

11. Compliance, Audit & Suspension

11.1. The Company may audit Affiliate activities (traffic sources, ads, creatives) for compliance.
11.2. The Company may suspend or terminate accounts for suspected fraud, policy breaches, or non-cooperation in reviews.
11.3. The Company may require removal/editing of content that is misleading or damages the brand.

12. Liability & Indemnity

12.1. The Company does not guarantee sales volumes or earnings.
12.2. To the extent permitted by law, the Company shall not be liable for indirect, incidental, or consequential damages.
12.3. The Affiliate agrees to indemnify and hold harmless the Company, the MoR, and their officers/employees from claims arising out of the Affiliate’s promotions, content, or breaches of these Terms.

13. Term & Termination

13.1. The Program continues until terminated. Either party may terminate at any time with written notice.
13.2. The Company may terminate immediately for cause (fraud, breach, reputational risk).
13.3. On termination, accrued eligible commissions will be paid in the next payout cycle, subject to clawbacks and thresholds.

14. Modifications

14.1. The Company may modify these Terms at any time. Material changes will be notified at least 15 days in advance (email or dashboard).
14.2. Continued participation after the effective date constitutes acceptance of the changes.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of Indonesia. Any disputes shall be submitted to the competent courts in Bali, Indonesia.

For clarity: sales are processed by IVNO GROUP LLC (USA) as Merchant of Record, but the Affiliate relationship and commission payments are operated and paid by PT THE SOUL SEEDS (Indonesia).

16. Privacy & Data

16.1. Affiliate personal data may be processed by PT THE SOUL SEEDS and IVNO GROUP LLC for Program administration, payouts, and compliance (including cross-border transfers).
